1. Introduction: Brothers Creative Company, headquartered in Riyadh, Saudi Arabia, is an outstanding entity involved in a wide array of construction, decorations, 3D modeling and visualization, interactive exhibitions, museums, festivals, events, celebrations, as well as the organization and management of related activities. Additionally, the company excels in diverse design innovations and the artistic elements used in advertising, displays, and marketing components. The term “proprietary information and rights” encompasses an extensive range of non-public data, inclusive of all documents, designs, unencumbered ideas, completed works, technical expertise, workforces, manufacturing processes, business plans, customer records, strategies, marketing materials, and presentations, along with all forms of knowledge relating to any aspect concerning Brothers Creative. Contracting parties, including clients, contractors, consultants, affiliated partners, entities working on behalf of Brothers Creative, whether individuals or organizations, and employees, all have access to any company-related information under any circumstances. All are tasked with the responsibility of preserving their information without compromising or disclosing any aspect to unauthorized parties, as stipulated in the agreement.

2. Application, Changes, and Cancellation: We kindly request the contracting parties to provide all relevant information about their work accurately, along with supporting documents and reference artwork to facilitate better accessibility. Any changes, updates, or additional requirements that arise after the agreement will result in a new price arrangement. The cost and action plan will be determined based on the specific circumstances of the required changes. If the client wishes to cancel the work before the manufacturing process begins, they are requested to notify Brothers Creative promptly in writing, indicating their intention to cancel the work and specifying the reasons for the cancellation. Brothers Creative reserves the right to assess eligibility in financial matters according to payment and refund terms. Once the manufacturing process commences, no financial considerations will be granted, as resources and materials have been allocated to ensure the completion of the project.

3. Payment and Refund Terms:

A. Payment Terms:
Kindly ensure that project payments are executed as per the submitted proposal. Any deviation or alteration from the agreed payment terms may impact project timelines and its quality in terms of manufacturing and delivery.

B. Refund Process:
Any refund process will be subject to a deduction from the total approved project value. This deduction includes, but is not limited to:

• Cancellation by the Client: In the event of non-commencement due to client cancellation, a fee equivalent to 5% of the agreed total project amount will be levied. This percentage does not include any additional bank or governmental fees if applicable.
• Exceeding Initial Costs: If the costs exceed 5% of the agreed project amount before commencement (referring to initial preparations), Brothers Creative will provide a comprehensive and transparent breakdown of all direct costs incurred since the preparation phase up to the cancellation point, provided that these costs were incurred before the manufacturing process began.

4. Work Responsibilities and Deliveries: Brothers Creative will not be held responsible for delays or issues related to the project site, including electricity and service problems due to the negligence of supervisors and related personnel (outside the company). Additionally, Brothers Creative is not accountable for delays caused by external parties, including importation, shipping, agents, and project-related entities, especially unforeseen environmental factors, unexpected infrastructure issues, or events unknown beforehand at the project site. This includes road problems, traffic, or sudden closures under any circumstances. Any damage or harm incurred by work elements or any project components on the project site or company facilities (during or after completion and delivery), due to third-party errors or environmental conditions, or events beyond the company’s control, including but not limited to weather conditions, fires, or external events unrelated to ordinary manufacturing and operational conditions managed by the manufacturing, installation, and supervision departments affiliated with Brothers Creative, exempts the company from any obligation to compensate for resulting losses, regardless of the circumstances. Brothers Creative reserves the right to seek compensation from contracted parties for any damage resulting from the negligence of workers or supervisors at project sites and related personnel (outside the company). This damage may affect our work, equipment, or any associated property, regardless of its significance, due to theft, vandalism, or any other action without prior coordination. All design and manufacturing processes at Brothers Creative are carried out according to manufacturing and production work standards and regulations, without any political, religious, or other agendas. Any misuse or deviation from the standards in the use of our products and services that contradicts the law is entirely the responsibility of the client or user. In such cases, Brothers Creative absolves itself of any responsibility as interpreted.

5. Company Facilities and Storage: Unauthorized access to Brothers Creative facilities is strictly prohibited, except for individuals holding permits issued by the company’s management. This exclusion does not apply to photography permissions within the facility. Unauthorized photography within the premises grants Brothers Creative the authority to take necessary measures to protect its rights without infringing upon the rights and properties of others. It is crucial for clients to understand that after the agreed storage period, Brothers Creative will not be held responsible for any loss, damage, or deterioration of the stored items. In cases of project cancellation or the return of items related to the project, if there is a delay beyond the specified delivery dates from the company’s warehouses after notifying the client, an additional one working day grace period will be granted. After the grace period, exceeding charges will be imposed for each day of delay, amounting to 500 Saudi Riyals per square meter designated for stored items, for a maximum duration of 5 days only. These charges encompass storage costs, security measures, and associated maintenance, unless the goods are removed or disposed of after the specified period.

6. Ownership and Rights: Brothers Creative is considered the sole owner or a rights partner in all works created, designed, manufactured, or developed with the client, including, but not limited to, designs, prototypes, project strategy meetings, ongoing and completed projects, and any other intellectual property rights such as printing, publishing, and broadcasting. Brothers Creative has full rights to carry out various photographic and visual recordings at the work sites at all times and without prior permission. The company is also free to publish any materials shared with the client without reference for promotional and marketing purposes, including the website, social media channels, and advertising, or for quoting and sending to other clients.

7. Procedures and Guidelines: The obligations outlined in this agreement do not pertain to activities that have been independently conceived and developed by the recipient without relying on any part of Brothers Creative under any circumstances or those made available to the public by Brothers Creative, subject to documentation without any error or involvement from the recipient. Any unauthorized disclosure or breach of this agreement may result in legal actions, granting Brothers Creative the right to pursue legal remedies, including compensation for damages and legal costs, in accordance with the prevailing laws in Saudi Arabia and the issued judgments. Brothers Creative reserves the full right to modify or cancel this agreement at its sole discretion. All authorized parties will be notified of any updates when necessary and in due time.
